1. Introduction
These Terms of Service apply to your access to and use of PartPlanner.
PartPlanner is provided by Pattform Ltd and may be described publicly as “PartPlanner by Pattform Ltd”.
In these Terms, “PartPlanner”, “we”, “us”, and “our” mean Pattform Ltd, trading through the PartPlanner product or brand.
“You” and “your” mean the customer, account holder, team owner, business, organisation, or person accessing or using PartPlanner.
By creating an account, joining a team, purchasing a subscription, purchasing a lifetime deal, accessing a team, or using PartPlanner, you agree to these Terms.
If you are using PartPlanner on behalf of a business, company, team, partnership, organisation, or other entity, you confirm that you have authority to accept these Terms on its behalf. In that case, “you” and “your” refer to both you personally and that entity.
If you do not agree to these Terms, you must not use PartPlanner.
2. What PartPlanner Does
PartPlanner is a software-as-a-service product that helps users and teams manage computer parts, inventory, PC builds, resale workflows, and related business/team information.
PartPlanner may include features for:
- Managing parts inventory;
- Creating and tracking PC builds;
- Tracking build costs and resale prices;
- Exporting inventory information;
- Managing team members and team access;
- Managing team-level product and billing status;
- Supporting related workflows for computer parts and PC resale operations.
PartPlanner is intended primarily for business, trade, team, and commercial use.
PartPlanner is not a financial, accounting, tax, valuation, marketplace, legal, or professional advisory service. You are responsible for your own business decisions, records, pricing, listings, sales, customers, tax obligations, and compliance requirements.
3. Related Policies
These Terms should be read together with our:
- Privacy Policy;
- Refund & Cancellation Policy;
- Acceptable Use Policy;
- Support Policy;
- Any lifetime deal terms, plan-specific terms, or offer-specific terms shown at checkout or on an official PartPlanner page.
If there is a conflict between these Terms and another policy, these Terms will apply to the extent of the conflict, unless the other policy expressly says otherwise.
4. Eligibility and Account Registration
To use PartPlanner, you must:
- Be at least 18 years old, or the age of legal majority in your location;
- Provide accurate account and billing information;
- Keep your login credentials secure;
- Use PartPlanner only for lawful purposes;
- Comply with these Terms and our related policies.
We may use third-party identity providers, including Auth0, to support account registration, login, authentication, and account security.
You are responsible for all activity that occurs under your account, including activity by team members you invite or authorise.
You must notify us promptly at support@partplanner.io if you believe your account has been compromised.
5. Teams and Team Access
PartPlanner is organised around teams.
A team may represent a business, project, group, reseller operation, or other workspace. Team owners and administrators are responsible for managing team membership, access, permissions, and use of the team workspace.
You are responsible for ensuring that any person you invite to your team is authorised to access the information stored in that team.
We may provide different team roles, such as owner, admin, member, or similar roles. These roles may change over time as PartPlanner develops.
Team owners and admins are responsible for:
- Inviting authorised users only;
- Removing users who should no longer have access;
- Managing team roles and permissions;
- Ensuring team data is accurate and lawful;
- Ensuring team use complies with these Terms.
6. Paid Access and Entitlements
PartPlanner is a paid product. There is no public free plan.
To create or use a production team, the team must have one of the following:
- An active paid subscription;
- A valid lifetime licence;
- An explicit admin-granted beta entitlement;
- Another entitlement approved by Pattform Ltd.
Access is enforced by our backend systems. Frontend screens may hide or show certain information for convenience, but paid access is ultimately determined by our backend entitlement records.
We may suspend, restrict, or remove access if:
- Payment fails;
- A subscription is cancelled or expires;
- A payment is refunded or charged back;
- We detect fraud, abuse, or unauthorised use;
- You breach these Terms;
- You breach our Acceptable Use Policy;
- We are required to do so by law;
- A payment, infrastructure, identity, security, or hosting provider requires or recommends action.
7. Payment-First Onboarding
PartPlanner uses payment-first onboarding.
This means you may be required to select a plan and complete payment before your production team is created or activated.
After payment, you may be asked to sign up or log in so that we can link your payment to your PartPlanner account and team.
If you pay using one email address and sign up using another, account linking may require manual support. You are responsible for providing accurate information so we can correctly link your payment and account.
If you need help linking a payment to your account or team, contact support@partplanner.io.
We are not responsible for delays caused by incorrect payment, account, billing, or email information.
8. Plans and Pricing
PartPlanner may offer monthly, annual, lifetime, founding, promotional, beta, or other pricing plans.
Current public pricing will be shown on our website, checkout page, billing portal, or another official PartPlanner pricing page.
Unless clearly stated otherwise:
- Monthly plans renew each month until cancelled;
- Annual plans renew each year until cancelled;
- Lifetime deals are one-time purchases linked to a specific scope;
- Prices are charged in the currency shown at checkout;
- Subscription access applies to one PartPlanner team;
- You are responsible for any bank fees, card fees, foreign exchange fees, or other charges imposed by your own provider.
We may change our pricing, plans, features, packaging, or billing options from time to time.
Pricing changes will not affect a billing period you have already paid for, but may apply to future renewals, new purchases, plan changes, or new customers.
9. GST and Taxes
At launch, Pattform Ltd is not registered for GST and does not charge GST on PartPlanner prices.
Unless this changes:
- Prices displayed for PartPlanner do not include a GST component;
- No GST is charged or collected by Pattform Ltd;
- Receipts or invoices should not be treated as GST tax invoices;
- We will not show a GST registration number.
If Pattform Ltd becomes required or chooses to register for GST, VAT, sales tax, or another applicable tax in the future, we may update pricing, invoices, tax wording, checkout flows, billing settings, and these Terms.
You are responsible for any taxes, duties, levies, reporting obligations, or compliance obligations that apply to your own business, location, or use of PartPlanner.
10. Payment Processing
Payments are processed by Stripe or another payment provider we may use in the future.
We do not store your full card details on our own systems. Payment method storage and payment processing are handled by Stripe or the relevant payment provider.
By purchasing PartPlanner, you agree to provide accurate billing information and authorise us and our payment provider to charge your selected payment method for the applicable fees.
Your use of Stripe or another payment provider may also be subject to that provider’s own terms, policies, and privacy notices.
11. Subscriptions, Renewals, and Cancellations
Subscriptions renew automatically unless cancelled.
You can manage your subscription, payment method, invoices, and cancellation through the Stripe Customer Portal or another billing management flow we provide.
If you cancel a monthly or annual subscription, your team will generally continue to have access until the end of the paid billing period, unless these Terms allow us to suspend or terminate access earlier.
Cancelling a subscription prevents future renewal charges. It does not automatically provide a refund for the current billing period.
If payment fails, we may retry payment, notify you, apply a grace period, restrict access, suspend access, or cancel the relevant entitlement.
Cancellations are handled according to our Refund & Cancellation Policy.
12. Refunds
Refunds are handled according to our Refund & Cancellation Policy.
Unless stated otherwise in that policy or required by law:
- Monthly subscription fees are not automatically refundable once a billing period has started;
- Annual subscription fees are not automatically refundable once a billing period has started;
- Lifetime deal refunds are only available within the stated refund window;
- Refunds may result in immediate loss of the related entitlement;
- Chargebacks or payment disputes may result in suspension while the dispute is investigated.
Nothing in these Terms or our Refund & Cancellation Policy limits any rights you may have under laws that cannot legally be excluded.
13. Lifetime Deals
PartPlanner may offer a founding lifetime deal or other lifetime licence.
Unless the offer page states otherwise, a lifetime deal:
- Applies to one PartPlanner team;
- Is linked to the purchaser, account, team, or Stripe customer record we approve;
- Provides access to the core PartPlanner team plan;
- Is subject to fair use, technical, security, and operational limits;
- Is not transferable without our written approval;
- Does not automatically include future premium modules, paid add-ons, third-party paid integrations, marketplace fees, managed services, custom development, custom reporting, or professional services;
- May be suspended or terminated if you breach these Terms or our Acceptable Use Policy.
“Lifetime” means the lifetime of the PartPlanner product or service as operated by Pattform Ltd. It does not mean the lifetime of the customer, founder, company, brand, wider Pattform platform, or any individual feature.
We may change, replace, rename, merge, or remove features over time as PartPlanner evolves, provided we do not intentionally remove the core value of the lifetime deal without a reasonable product, technical, legal, security, operational, or business reason.
Lifetime deal refunds are handled according to our Refund & Cancellation Policy.
14. Beta Access and Admin Grants
We may provide beta access, internal testing access, trial access, admin grants, or other special entitlements at our discretion.
These entitlements:
- May be free or discounted;
- May be time-limited;
- May be revoked at any time;
- May have limited features or capacity;
- Do not guarantee future free access;
- Do not create a right to continued use of PartPlanner.
Beta features may be incomplete, unstable, inaccurate, changed, or removed without notice.
15. Acceptable Use
You must comply with our Acceptable Use Policy.
You must not use PartPlanner to:
- Break the law;
- Commit fraud;
- Mislead customers, suppliers, buyers, sellers, or service providers;
- Upload malicious code, malware, or harmful content;
- Attempt to gain unauthorised access to our systems or other users’ data;
- Interfere with the operation, security, or performance of PartPlanner;
- Scrape, overload, reverse engineer, or abuse the service;
- Resell, sublicense, or provide PartPlanner as a competing service without our permission;
- Store or process highly sensitive information unless we have expressly agreed to that use;
- Misrepresent your identity, business, payment details, or authority;
- Use PartPlanner in a way that could harm Pattform Ltd, PartPlanner, our customers, or our providers.
We may investigate suspected misuse and may suspend or terminate access where we reasonably believe misuse has occurred.
16. Customer Data
You retain ownership of the data you or your team enter into PartPlanner.
You grant us a licence to host, process, transmit, display, back up, analyse, secure, and use your data as needed to provide, maintain, protect, improve, and support PartPlanner.
You are responsible for:
- The accuracy of your data;
- Ensuring you have the right to upload and use the data;
- Managing team member access;
- Exporting or retaining any records you need for legal, tax, accounting, business, customer, warranty, insurance, inventory, or operational reasons;
- Not uploading information you are not authorised to use.
We may collect and use usage data, diagnostic data, logs, metadata, and aggregated or de-identified information to operate, secure, analyse, and improve PartPlanner.
Our handling of personal information is described in our Privacy Policy.
17. Data Export
PartPlanner supports inventory exporting within the product.
For a full data export, you must contact us manually at support@partplanner.io.
Full data export availability may depend on:
- Your role in the team;
- Whether you are the team owner or an authorised admin;
- The type of data requested;
- Technical feasibility;
- Account status;
- Billing or entitlement status;
- Security and privacy considerations;
- Whether the export would disclose another person’s information.
We may require proof that you are the team owner or an authorised admin before exporting team data.
We do not guarantee custom export formats unless we expressly agree otherwise in writing.
18. Backups and Data Loss
We may operate backups, logs, monitoring, and recovery processes, but we do not guarantee that all data can always be restored.
You should keep your own records of important business information, including any information needed for tax, accounting, customer, inventory, sales, insurance, warranty, marketplace, or legal purposes.
We are not responsible for business losses caused by your failure to keep independent records of important information.
19. Privacy
Our Privacy Policy explains how we collect, use, store, disclose, and protect personal information.
By using PartPlanner, you agree that we may handle personal information as described in our Privacy Policy.
You are responsible for ensuring that any personal information you upload, enter, import, or invite others to provide is collected and used lawfully.
20. Security
We use reasonable technical and organisational measures to protect PartPlanner and customer data.
However, no online service can be guaranteed to be completely secure, uninterrupted, or error-free.
You are responsible for:
- Keeping your login details secure;
- Using strong passwords and secure devices;
- Managing team access carefully;
- Removing users who should no longer have access;
- Not sharing accounts;
- Promptly notifying us of suspected unauthorised access.

21. Third-Party Services
PartPlanner may rely on third-party services, including providers for:
- Authentication;
- Payments;
- Hosting;
- Databases;
- Email;
- Analytics;
- Monitoring;
- Logging;
- Support;
- Security;
- Infrastructure.
Our providers may include AWS, Google, Auth0, Stripe, Google Analytics, and other operational providers.
We are not responsible for third-party services we do not control. If a third-party provider has an outage, security issue, pricing change, legal restriction, product change, or service change, PartPlanner may be affected.
We may change providers from time to time.
22. Intellectual Property
Pattform Ltd owns PartPlanner and all related intellectual property, except for customer data and third-party materials.
This includes:
- Software code;
- Product design;
- User interface;
- Workflows;
- Documentation;
- Brand assets;
- Product names;
- Logos;
- Templates;
- Internal tools;
- Deployment patterns;
- Architecture;
- Entitlement systems;
- Other materials created or owned by Pattform Ltd.
You may use PartPlanner only as allowed by these Terms.
You must not copy, reproduce, modify, distribute, reverse engineer, resell, sublicense, or create derivative works from PartPlanner unless we expressly allow it in writing.
23. Feedback
If you give us ideas, suggestions, feature requests, bug reports, or other feedback, you grant Pattform Ltd permission to use that feedback without restriction, attribution, or compensation.
This helps us improve PartPlanner without creating ownership disputes over product ideas.
24. Availability and Changes
We aim to provide a reliable service, but we do not guarantee that PartPlanner will always be available, uninterrupted, secure, or error-free.
We may change, improve, limit, suspend, or discontinue parts of PartPlanner from time to time.
We may perform maintenance, updates, migrations, or emergency changes that affect availability.
Where practical, we may give notice of significant changes, but we may act without notice where needed for security, legal, operational, payment, provider, or technical reasons.
25. Support
Support is provided according to our Support Policy.
Unless we expressly agree otherwise in writing, PartPlanner does not include:
- Phone support;
- Live chat support;
- Guaranteed response times;
- Guaranteed resolution times;
- Dedicated account management;
- Custom development;
- Custom integrations;
- Custom reporting;
- Professional consulting.
Support is provided by email at support@partplanner.io.
We may prioritise support based on severity, customer status, operational impact, security impact, and available capacity.
26. Marketing and Communications
We may send you service-related communications, including account notices, billing notices, security notices, product updates, policy updates, and support responses.
We may also send promotional or marketing communications where permitted.
You can unsubscribe from marketing emails using the unsubscribe link where available, or by contacting support@partplanner.io.
You may still receive important service, billing, legal, operational, or security messages even if you unsubscribe from marketing emails.
27. Suspension and Termination
We may suspend or terminate your access to PartPlanner if:
- You breach these Terms;
- You breach our Acceptable Use Policy;
- You fail to pay fees when due;
- Your payment is refunded, reversed, disputed, or charged back;
- You misuse the service;
- You create security, legal, operational, payment, support, or reputational risk;
- You provide false or misleading information;
- We are required to do so by law;
- A third-party provider requires or recommends action;
- Continuing to provide the service becomes impractical or commercially unreasonable.
You may stop using PartPlanner at any time. Stopping use does not automatically cancel a paid subscription. You must cancel through the billing flow we provide.
After termination, we may delete, retain, restrict, archive, or export data in accordance with our policies, legal obligations, operational needs, and Privacy Policy.
28. Disclaimers
PartPlanner is provided on an “as is” and “as available” basis, except as expressly stated in these Terms or required by law.
We do not promise that PartPlanner will:
- Meet every business need;
- Be error-free;
- Be uninterrupted;
- Produce accurate commercial, tax, financial, valuation, marketplace, or accounting outcomes;
- Replace your own judgement, records, processes, or professional advice;
- Guarantee resale profit, inventory accuracy, customer demand, product availability, supplier reliability, marketplace compliance, or market pricing.
You are responsible for checking outputs, maintaining your own records, and making your own business decisions.
29. Limitation of Liability
To the maximum extent permitted by law, Pattform Ltd is not liable for:
- Lost profits;
- Lost revenue;
- Lost savings;
- Lost business opportunities;
- Loss of goodwill;
- Loss of data;
- Indirect or consequential loss;
- Business interruption;
- Loss caused by third-party services;
- Loss caused by your misuse of PartPlanner;
- Loss caused by incorrect data entered by you or your team;
- Loss caused by your failure to maintain independent records;
- Loss caused by marketplaces, suppliers, buyers, sellers, customers, banks, payment providers, browsers, devices, internet providers, or other third parties.
To the maximum extent permitted by law, our total liability for all claims relating to PartPlanner is limited to the amount you paid us for PartPlanner in the three months before the event giving rise to the claim.
If you purchased a lifetime deal, our total liability is limited to the amount you paid for that lifetime deal.
These limits do not apply where liability cannot legally be limited or excluded.
30. Consumer and Business Law
PartPlanner is intended primarily for business and team use.
If you acquire PartPlanner for business purposes, then to the maximum extent permitted by law, you agree that consumer guarantees, business-to-business consumer protections, or similar laws that may be contracted out of do not apply.
Nothing in these Terms excludes, restricts, or modifies any right, remedy, guarantee, or protection that cannot legally be excluded, restricted, or modified.
If any term is found to be unfair, invalid, unlawful, or unenforceable, that term will be interpreted, limited, or removed to the minimum extent necessary, and the remaining Terms will continue to apply.
31. Indemnity
You agree to indemnify Pattform Ltd against claims, losses, liabilities, costs, and expenses arising from:
- Your breach of these Terms;
- Your breach of our Acceptable Use Policy;
- Your misuse of PartPlanner;
- Your unlawful use of data;
- Your infringement of another person’s rights;
- Content or data uploaded by you or your team;
- Activity by users you invite or authorise;
- Your business activities outside PartPlanner;
- Your listings, sales, customers, suppliers, products, builds, inventory, taxes, warranties, marketplace activity, or compliance obligations.
32. Changes to These Terms
We may update these Terms from time to time.
If we make material changes, we may notify you by email, in-app notice, website notice, or another reasonable method.
The updated Terms will apply from the effective date shown.
If you continue using PartPlanner after updated Terms take effect, you accept the updated Terms.
If you do not accept the updated Terms, you must stop using PartPlanner and cancel any active subscription.
33. Governing Law and Disputes
These Terms are governed by the laws of New Zealand.
You and Pattform Ltd submit to the non-exclusive jurisdiction of the New Zealand courts.
Before starting formal legal proceedings, you agree to first contact us at support@partplanner.io and give us a reasonable opportunity to resolve the issue informally, unless urgent legal action is required.
